Purpose

People, culture, leadership and governance capacity

The People, Culture, and Nominations Committee (PCNC) is a sub-committee of the AIHE Council. The Committee supports management and provides strategic advice to Council on matters relating to organisational capability, workforce strategy, culture, leadership and Council composition and succession planning. It also provides advice on people-related matters, executive performance and remuneration to ensure the organisation has the talent and governance capacity required for sustainable growth.

Functions

People and Workforce Strategy

  • Oversee human resource strategy, workforce planning, and talent development
  • Monitor recruitment, retention, capability needs, and key HR metrics
  • Review staff policies including performance management and Code of Conduct.

Organisational Culture and Wellbeing

  • Monitor culture, engagement, and workplace climate
  • Oversee workplace health and safety governance
  • Ensure initiatives support staff wellbeing and alignment with organisational values.

Executive Oversight and Remuneration

  • Advise on CEO performance review process
  • Review remuneration frameworks for Council, Academic Board, subcommittees, executives and senior leaders
  • Ensure remuneration is aligned with strategic objectives and financial sustainability.

Council Nominations and Governance

  • Oversee Council skills matrix and succession planning
  • Manage Council member and Academic Board member recruitment and nomination processes
  • Review Council and committee self-evaluation processes.

The Committee operates as a working forum to support management, enabling matters to be discussed and refined before consideration by Council.

Membership

Membership is for two years with an option to renew for a second term. The Committee will comprise three Council members, one of whom will serve as Chair. The CEO will be in attendance at each meeting. The Committee may invite other members of management or external advisers to attend as required.

Meetings

The Committee will meet at least four times per year, or more often as required. A quorum is a majority of members. If the Chair cannot be present at any meeting, the Chair will nominate another member to act as Chair of that meeting. One member will be selected to take notes at each meeting.

Reporting

The Chair will report to Council following each meeting and present any recommendations of the Committee.

Authority

The Committee has no decision-making authority unless delegated by Council.

Review
